Pursuant to the provisions of the Meyers-Milias-Brown Act (MMBA), this Side Letter Agreement (Agreement) is entered into on April 8, 2015, between the City of San Diego (City) and the San Diego City Firefighters, I.A.F.F. Local 145 (Local 145) as an amendment to the Memorandum of Understanding covering the term July 1, 2013 to June 30, 2018 (the MOU). Local 145and the City are collectively referred to herein as the “Parties.”

This side letter agreement (this “Agreement”) is made by and among Verde Bio Holdings, Inc., a Nevada corporation (“Verde”), Sensasure Technologies, Inc., a Nevada corporation (“Parent”), and Spartan Capital Securities, LLC, a New York limited liability company (“Spartan”). This Agreement is made in connection with that certain Agreement and Plan of Merger (the “Merger Agreement”) dated as of December 11, 2023 by and among Verde, Parent, and Formation Minerals Inc., a Nevada corporation, and a wholly-owned subsidiary of Parent. Capitalized terms not otherwise defined herein shall have the meanings set forth in the Merger Agreement.

This letter and the enclosed (i) Appendix “A” to the Custodian Agreement (“Appendix A”) and (ii) Schedule A to the Side Letter Agreement (“Schedule A”), are being delivered to the Custodian pursuant to Section 9.06 of the Custodian Agreement and Section 5 of the Side Letter Agreement, respectively.

This SIDE LETTER AGREEMENT (this “Agreement”), dated as of January 30, 2019 (the “Effective Date”), is entered into by and between Prairie GP Acquiror LLC, a Delaware limited liability company (“GP Acquiror”), and [•], an individual residing in the state of [•] (“Management Member”). The parties to this Agreement are hereby referred to as the “Parties” and each, a “Party.” Capitalized terms used but not defined herein have the meaning assigned to such terms in the Purchase Agreement (as defined below).

The County of Orange (County) and the Orange County Employees Association (OCEA) have met and conferred in good faith and reached an agreement on wages and other terms and conditions of employment for certain employees in classifications represented by the OCEA. The PARTIES agree to amend the provisions in Article I, Section 5 as set forth in the 2019-2023 Memorandum of Understanding (MOU) for the Supervisory Management Unit to include Board Certification Pay as provided below. This Side Letter is subject to approval by the County Board of Supervisors and shall be effective on the first day of the first pay period after adoption by the Board of Supervisors.

This Agreement relates to modifications to the city's use and accrual of vacation time whereby an employee has the option to receive either vacation time off or to cash out the vacation time. This Agreement also relates to modifications to the city's use and accrual of compensatory time whereby an employee has the option to receive compensatory time off in lieu of overtime and clarifies that employees will not have the option beginning January 1, 2020 to carry over compensatory time from one calendar year to the next. All compensatory time must be used in the calendar year it is accrued or it will be paid out on the last pay date of the calendar year. The city will allow an employee an option to convert existing accrued and unused vacation to cash up to one hundred and sixty (160) hours no later than December 10, 2019. The city will also allow an employee the option of carrying over their existing compensatory time balance as of December 31, 2019 through June 14, 2020, and will be cash
